Important information concerning the status and permitted use of this website.
Important notice
This website presents Roy Solomon Consultancy’s work, perspective and areas of commercial interest. It is not a trading platform, an offer of commodities or services, proof of product or authority, or a substitute for verified transaction documents and professional advice.
Acceptance of these terms
These Website Terms govern your access to and use of this website. By accessing, browsing or using it, you confirm that you have read and agree to these terms and our Privacy Policy. If you do not agree, please do not use the website.
If you use the website for an organisation, you confirm that you have authority to act for that organisation. You must be at least eighteen years of age or otherwise legally capable of agreeing to these terms.
About Roy Solomon Consultancy
Roy Solomon Consultancy is a Nassau-based strategic advisory and commercial-origination platform connecting credible opportunities across commodities, trade, infrastructure, logistics and related ventures. References on this website to “we”, “our” or “us” mean Roy Solomon Consultancy.
The website provides high-level information only. It does not itself deliver a contracted service, execute a trade, transfer title, hold client assets or operate as a payment, investment, securities or commodities exchange.
Informational purpose only
Website content is provided for general information and preliminary business discussion. It is not legal, tax, accounting, regulatory, sanctions, insurance, investment, financial, technical or other regulated professional advice. You should obtain independent advice appropriate to your circumstances before making a decision or taking action.
Nothing on the website creates an adviser-client, principal-agent, mandate, fiduciary, partnership, joint-venture, employment, brokerage or other professional or commercial relationship. Any such relationship arises only through an appropriate written agreement signed by authorised representatives of the relevant parties.
Commercial and commodities notice
No offer, allocation or commitment
Nothing on this website constitutes or evidences an offer, solicitation, quotation, allocation, reservation, nomination, commitment, warranty or agreement to buy, sell, supply, store, transport, inspect, finance or otherwise transact in commodities, refined fuels or any other product or service.
In particular, website content must not be treated as confirmation of:
- product existence, specification, quantity, location, title, origin or availability;
- refinery, terminal, storage, pipeline, shipping, inspection or logistics capacity;
- a seller’s, buyer’s, intermediary’s or representative’s identity, authority, mandate or financial capability;
- price, differential, procedure, delivery schedule, payment terms or transaction status; or
- approval by a government, regulator, bank, refinery, terminal, inspection company or other third party.
All opportunities remain subject to independent verification, satisfactory due diligence, compliance approval, definitive commercial terms, availability and properly executed transaction-specific documents. Those documents—not this website—govern the relevant transaction and prevail in the event of inconsistency.
Separate legal entities and connected ventures
Roy Solomon Consultancy performs strategic advisory, relationship development and origination functions. Solara Commodities Ltd. is a separate legal entity through which qualifying refined-fuel sourcing and trading activity may be conducted.
A reference to Solara Commodities Ltd. or any other connected, prospective or future venture does not, by itself, mean that the entity is a subsidiary, affiliate, partner, agent, principal or operating division of Roy Solomon Consultancy. It does not establish common ownership, control, authority to bind another entity, incorporation or operational status unless expressly confirmed in current formal documentation.
Each legal entity is responsible for its own obligations. No entity or person may bind Roy Solomon Consultancy or a connected venture unless expressly authorised in writing by that entity.
Enquiries, communications and document verification
Contacting us, sending information or receiving a reply does not oblige any party to proceed and does not create a confidential, advisory, mandate or transaction relationship. We may decline, pause or discontinue an enquiry at our discretion, subject to any separate written agreement.
Email and electronic communications can be intercepted, altered, misdirected or impersonated. Do not send passports, banking records, beneficial-ownership records or other sensitive due-diligence material until the recipient and an appropriate secure exchange method have been confirmed. Our handling of personal information is described in our Privacy Policy, and our published checks appear in the Verification & Security Centre.
Fraud and impersonation warning
Do not rely on unexpected payment instructions, banking changes, wallet addresses, document links or requests for confidential material merely because they appear to use our name, branding or an apparently familiar email address. Verify material instructions through a previously established contact method. A logo, signature block, business card, social-media profile or document bearing our name is not, by itself, proof of authenticity or authority.
Permitted use
We grant you a limited, revocable, non-exclusive and non-transferable licence to access and use the website for lawful personal or internal business information purposes in accordance with these terms.
You must not:
- use the website or its content for any unlawful, fraudulent, deceptive, defamatory or misleading purpose;
- represent that you are affiliated with, authorised by, mandated by or acting for us or a connected venture without express written authority;
- copy, republish or distribute substantial website content for commercial use, create derivative branding, or remove proprietary notices;
- scrape, harvest or systematically extract content or contact information, including through automated tools, except for ordinary search-engine indexing;
- attempt to gain unauthorised access to the website, its hosting environment, accounts, systems, data or communications;
- introduce malware, malicious code or harmful material, or interfere with the website’s security, integrity, availability or operation;
- probe, scan, test, reverse-engineer or circumvent security or access controls except with prior written authorisation; or
- use website content to create or circulate false commercial documents, product claims, offers, mandates, allocations or endorsements.
Unauthorised use may violate these terms, intellectual-property rights and applicable law. We may restrict or block access and take other appropriate action where misuse is suspected.
Intellectual property
Unless otherwise identified, the website’s written content, selection and arrangement, visual identity, original artwork, graphics, photographs, trade-dress elements, page designs and other materials are owned by or licensed to Roy Solomon Consultancy and are protected by applicable intellectual-property laws.
You may view the website and make a reasonable number of copies for your own lawful, non-commercial information or internal evaluation. No other licence or right is granted. You may not reproduce, modify, publish, sell, license, distribute, publicly display or commercially exploit protected material without prior written permission from the relevant rights holder.
Names, logos and marks belonging to third parties remain the property of their respective owners. Their appearance, where any, does not grant a licence or imply endorsement, partnership or approval.
Information and materials you submit
You remain responsible for information and materials you send to us. You confirm that you have the right and authority to provide them, that they are materially accurate to the best of your knowledge, and that doing so does not breach confidentiality, privacy, intellectual-property or other rights.
Unless we have agreed otherwise in writing, sending an idea, proposal or opportunity does not prevent us from considering or working on similar matters independently or with others. We will not acquire ownership of your materials merely because they are submitted, but you authorise us to review, reproduce internally and share them with relevant personnel or advisers to the extent reasonably necessary to assess your enquiry and as described in our Privacy Policy.
Third-party information and links
The website may mention or link to external organisations, markets, locations, products, publications, platforms or services. Links and references are provided for context or convenience. They do not constitute verification, approval, sponsorship, endorsement or a representation that a current commercial relationship exists.
We do not control third-party websites or services and are not responsible for their availability, security, accuracy, content or practices. You access them at your own discretion and should review their applicable terms and privacy notices.
Accuracy, changes and availability
We take reasonable care in preparing website content, but information may be incomplete, become outdated or contain errors. Markets, regulations, commercial relationships, capabilities, products, locations and project status may change without notice. We do not undertake to update every item immediately or to notify visitors of every correction.
We may modify, suspend, withdraw or restrict any part of the website at any time. We do not guarantee continuous availability, compatibility with every device or browser, or that the website will be free from faults, interruptions or harmful components.
Disclaimers
To the fullest extent permitted by law, the website and its content are provided on an “as available” basis. We disclaim warranties, representations and conditions that are not expressly stated in these terms, including implied warranties of accuracy, completeness, quality, fitness for a particular purpose, non-infringement, availability or suitability for a proposed transaction.
You are responsible for evaluating information independently, conducting your own due diligence, protecting your systems and determining whether any opportunity, person, entity, product or service is suitable and lawful for your purposes.
Limitation of liability
To the fullest extent permitted by law, Roy Solomon Consultancy and its personnel, representatives and service providers will not be liable for loss or damage arising from or connected with access to, use of, inability to use, or reliance on this website or any linked resource. This includes indirect, incidental, special, consequential or punitive loss; loss of profits, revenue, opportunity, contracts, goodwill, data or anticipated savings; and loss arising from fraud or impersonation by an unauthorised third party.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct and any other responsibility preserved by applicable law. Any liability arising under a separate written engagement or transaction is governed by that agreement rather than these website terms.
Responsibility for misuse
You are responsible for your use of the website and for activity conducted through systems or accounts under your control. To the extent permitted by law, you will be responsible for reasonable loss, liability, cost or expense incurred by us as a direct result of your unlawful use of the website, your material breach of these terms, or your infringement of another person’s rights.
International use and legal compliance
This website is operated from The Bahamas and may be viewed internationally. We do not represent that its content is appropriate, lawful or available in every jurisdiction. You are responsible for complying with laws applicable to you, including trade restrictions, sanctions, export controls, anti-bribery, anti-money-laundering and competition requirements.
You must not use this website or information obtained through it to facilitate a prohibited transaction, evade a legal restriction or engage with a sanctioned person, entity, jurisdiction, vessel, product or activity.
Changes to these terms
We may update these terms to reflect changes in the website, our activities or applicable law. Revised terms take effect when published unless a later date is stated. The effective date at the top of this page identifies the current version. Your continued use of the website after publication constitutes acceptance of the revised terms.
Governing law and jurisdiction
These terms and any non-contractual dispute or claim arising from or connected with the website are governed by the laws of the Commonwealth of The Bahamas, without regard to conflict-of-law principles. Subject to any mandatory rights that apply, the courts of the Commonwealth of The Bahamas have exclusive jurisdiction over such disputes.
A separate written engagement, confidentiality agreement or transaction document may contain its own governing-law and dispute-resolution provisions. For matters within its scope, that document will prevail over this clause.
General provisions
If any provision of these terms is found invalid, unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue in effect. A failure or delay in enforcing a provision is not a waiver. Rights and remedies are cumulative unless the law provides otherwise.
You may not assign or transfer rights under these terms without our prior written consent. We may transfer our rights and obligations in connection with a reorganisation, transfer of the website or relevant business activity, provided this does not unlawfully reduce your rights. These terms, together with the Privacy Policy, constitute the entire agreement between you and us concerning use of the website itself.
